Remuneration Policies in the Nordics

A significant number of public companies in most EU Member States held their first (binding or advisory) votes on remuneration policies in 2020, in accordance with national implementation of the second Shareholder Rights Directive (Directive 2017/828), generally known as SRD II. Many of these policies were due for renewal in 2024, considering the four-year cycle adopted by most countries. This paper aims to explore the state of remuneration policies in the Nordics, having completed one cycle under SRD II, including market practices and general developments. The paper examines practices in relation to SRD II guidelines and corresponding national implementations. The review also considers investor expectations and general sentiments, as measured through ISS benchmark policy surveys and roundtable discussions, inter alia.  The paper concludes with a discussion of what to reasonably expect from Nordic remuneration policies going forward.
