ISS Proposal Category Enhancements

As part of the many solutions offered to the investment community, ISS provides suggested guidance in categorizing proxy voting matters across management and shareholder proposals for every company meeting agenda.

To better support investors in effectively determining the topics pertaining to proxy voting matters important to them, ISS is planning enhancements to standardize proposal categorization, progressing
toward a 3-tier structure.

Importantly, the current proposal codes and descriptions will remain unchanged, and ISS is adding two new designations to the existing category structure to determine whether a proposal is:

Environmental, Social, and/or Governance-related; its
Category, e.g., Compensation; and
Subcategory, e.g., Equity Compensation Plan, Directors’ Compensation, Remuneration Policy & Implementation, etc.

In a multi-phased initiative over the course of 2022, ISS is releasing these enhancements to harmonize the categorization of proxy voting matters supported by current product
solutions as follows:
